These Terms govern your engagement with Kaydiem Script Lab for consulting, custom development, automation scripting, and related services.
We provide bespoke Google Apps Script development, AI workflow integrations, system architecture consulting, and ongoing support. Deliverables, timelines, and pricing are defined in a written quote, proposal, or service agreement you accept.
Unless otherwise stated, 50% deposit is required before work begins; balance is due upon completion and your approval. Late payments may incur 1.5% monthly interest. All fees exclude applicable taxes.
Upon full payment, you receive a perpetual, non-exclusive, worldwide license to use, modify, and maintain the delivered scripts and solutions for your internal business purposes. We retain ownership of our pre-existing tools, frameworks, templates, and reusable components (“Kaydiem Core”). You may not resell, redistribute, or offer our Core as a standalone product without written permission.
You grant us necessary access to your Google Workspace (with least-privilege credentials), provide accurate requirements, and approve deliverables promptly. Delays caused by your non-responsiveness may extend timelines.
We warrant that services will be performed professionally and that delivered solutions will substantially match agreed specifications for 30 days post-delivery (free bug fixes within this period). Beyond that, support is provided under a separate maintenance agreement. We are not liable for indirect, consequential, or data-loss damages. Our total liability shall not exceed fees paid for the specific project.
Either party may terminate for material breach with 10 days’ written notice to cure. Upon termination, you pay for completed work; we hand over all project-specific code and documentation.
Both parties agree to keep each other’s business information confidential for 5 years post-engagement.
These Terms are governed by the laws of India. Disputes shall be resolved through negotiation, failing which, arbitration in Kolkata under the Arbitration and Conciliation Act, 1996.
By engaging our services, you agree to these Terms. We may update them with notice via email or our website. Continued use constitutes acceptance of changes.
